By accessing or using the website www.babylonconsulting.us or engaging the services of Babylon Consulting LLC ("Babylon Consulting," "we," "our," or "us"), you ("you" or "Client") agree to be bound by these Terms & Conditions. If you do not agree, do not use our website or services.
Babylon Consulting specializes in the acquisition and sale of steam and gas turbines, transacting as a direct principal, and provides medical practice consulting and AI & data consulting services. The specific scope, deliverables, timeline, and fees for each engagement or transaction are governed by a separate written agreement executed between Babylon Consulting and the Client or transacting party.
Our services do not constitute legal, tax, accounting, investment, or medical advice. We are not licensed as attorneys, financial advisors, or medical providers. Clients are responsible for retaining appropriately licensed professionals where such advice is required.
Both parties agree to treat non-public information exchanged during an engagement as confidential and to use it only for the purpose of the engagement. This obligation survives termination of the engagement.
All materials, methodologies, frameworks, and deliverables produced by Babylon Consulting remain our intellectual property unless otherwise agreed in writing. Clients receive a limited, non-exclusive license to use deliverables for their internal purposes.
Fees are specified in the governing engagement agreement and may include retainers, success fees, expense reimbursements, or combinations thereof. Late payments accrue interest at the maximum rate permitted by law.
To the fullest extent permitted by law, Babylon Consulting's total liability arising from or related to any engagement shall not exceed the fees paid by the Client for the specific engagement giving rise to the claim. In no event shall Babylon Consulting be liable for indirect, incidental, consequential, or punitive damages.
You agree to indemnify, defend, and hold harmless Babylon Consulting and its officers, partners, and affiliates from any claims, damages, losses, or expenses arising out of your breach of these Terms, your misuse of our services, or your violation of any law.
Babylon Consulting complies with all applicable U.S. and international sanctions, anti-corruption, and anti-money-laundering laws. We reserve the right to decline or terminate any engagement that, in our sole judgment, presents unacceptable legal, ethical, or reputational risk.
Advisory and consulting services are inherently uncertain. While we commit to diligent and professional effort, we do not guarantee any specific outcome, sale, regulatory approval, or commercial result.
Engagements and transactions may involve independent third parties such as logistics providers, inspectors, contractors, or technical advisors. Such third parties act on their own account, and Babylon Consulting is not responsible for their acts, omissions, or performance.
Either party may terminate an engagement in accordance with the governing engagement agreement. Provisions relating to confidentiality, intellectual property, payment of earned fees, indemnification, and limitation of liability survive termination.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute shall be resolved exclusively by confidential binding arbitration seated in the United States, conducted in English.
We may update these Terms & Conditions from time to time. Changes will be posted on this page with an updated "Last Updated" date.
